General Terms and Conditions

1. IDENTIFICATION OF PARTIES

Grupo VIM, Lda. (hereinafter "Grupo VIM"), a commercial company incorporated and registered under the laws of the Republic of Mozambique, with NIF 402 043 385, headquartered at Estrada Nacional n.º 106, Centro Comercial da China, 1.º Andar, Escritório GVIM — Bairro Alto Gingone, Cidade de Pemba, Provincia de Cabo Delgado, República de Moçambique.

The Client is any individual or legal entity that acquires, contracts, uses or accesses any product, service, platform, system or infrastructure of Grupo VIM.

2. ACCEPTANCE AND BINDING EFFECT

By performing any of the following actions, the Client expressly declares that they have read, understood and fully accepted these Terms and Conditions:

• •Contracting services or solutions from Grupo VIM
• •Using any software, platform or system
• •Making payments or transfers
• •Signing a proposal, contract or commercial document
• •Requesting a quotation or technical proposal
• •Affirmatively responding to any commercial communication
• •Using the Client Portal or any digital system

The Client's failure to read these Terms in full does not invalidate acceptance. Payment of any amount constitutes unequivocal and irrefutable proof of agreement with all current legal documents of Grupo VIM.

7. LIMITATION OF LIABILITY

Grupo VIM's maximum liability in any situation shall not exceed the amount effectively paid by the Client in the last 12 (twelve) months of the contract.

8. GOVERNING LAW AND JURISDICTION

These Terms are governed exclusively by the laws of the Republic of Mozambique. The competent court is the Court of Pemba City, with subsidiary recourse to the courts of Nampula and Maputo, in that order of preference.
